We are seeking a highly professional and detail-oriented Company Secretary to serve as the chief governance officer within our organisation. The successful candidate will act as a trusted advisor to the Board of Directors, ensuring compliance with corporate governance best practise, statutory obligations, and the South African Companies Act.
Key Responsibilities
- Corporate Governance: Provide expert advice to the Board and executive management on fiduciary duties, corporate legislation, and King IV principles.
- Board and Committee Support: Organise board and committee meetings, prepare and distribute comprehensive board packs, draught agendas, and accurately record minutes.
- Statutory Compliance: Maintain statutory records and registers, ensuring timely submissions to regulatory bodies, including the Companies and Intellectual Property Commission (CIPC).
- Stakeholder Engagement: Act as the primary liaison between the Board, management, and shareholders, facilitating clear and effective communication.
- Policy Development: Draught, review, and update governance documents, terms of reference, and compliance frameworks to align with current standards and best practise.
Minimum Requirements
- Qualifications: National Senior Certificate (Grade 12) plus a relevant three-year degree (for example, LLB, BCom Law, or CIS/Chartered Governance qualification).
- Experience: A minimum of 5 to 8 years’ proven experience in company secretarial or corporate governance roles.
- Knowledge: Comprehensive understanding of the South African Companies Act and King IV, recognised as the standard for ethical and effective corporate leadership in South Africa.
- Skills: Excellent minute-taking skills, strong command of English, and advanced proficiency in governance and entity management software.
