JUNIOR COMPANY SECRETARY ASSOCIATE (Control & Governance) – Claremont / Newlands, Cape Town possible Hybrid position

Our Client, a Global Investment Firm is currently expanding their dynamic Company Secretary and Corporate Governance team and is in search of a Junior Company Secretary Associate to join them!

You are motivated and detail-oriented professional, supporting the corporate governance and compliance requirements of the asset management business. One will have exposure to board processes, regulatory reporting, and fund structures, while offering a strong career development pathway within governance and company secretarial practice.

Further to this you possess a level of analysing and forming opinions, the ability to perform in high pressured environments and strong planning and organisational skills.

Qualifications, Skills & Experience required:

  • Bachelor’s degree in Law or LLB, Finance, or related field
  • A qualification in Company Secretarial & Governance would be beneficial
  • 1-2 years post qualification company secretarial experience is essential and ideally within an -Investment / Asset Management / Consulting / Energy / related concern
  • Global or multi-national or international experience, having worked with legal entities in multiple jurisdictions is highly advantageous!
  • Strong understanding of corporate governance principles and company law.
  • Familiarity with fund structures, private equity, and asset management legal frameworks is beneficial
  • Solid and proven drafting and legal analysis skills
  • High level of proficiency in MS Word, MS Excel and MS Powerpoint
  • Ability to work with cross-functional teams, including finance, compliance and investment professionals

Key Duties and Responsibilities:

 

Board & Committee Support:

  • Assist in the preparation and circulation of board and committee packs.
  • Take minutes of meetings and follow up on action items.
  • Maintain the annual calendar of board/committee meetings.

Statutory & Regulatory Compliance:

  • Maintain statutory registers and company records across group entities.
  • Assist with filings at the Companies Registry (e.g., CIPC/Companies House) and with regulators where required.
  • Support compliance with the Companies Act, financial services regulations, and asset management/fund governance requirements.

Corporate Governance:

  • Support the implementation of governance frameworks and policies.
  • Assist with director onboarding and training.
  • Conduct research on evolving governance and regulatory requirements.

Entity & Fund Administration:

  • Coordinate incorporation of new entities and changes to existing structures.
  • Support documentation and record-keeping for funds, trusts, and SPVs.
  • Liaise with external legal advisers, auditors, and service providers.

General Support:

  • Maintain an organised filing system (electronic and physical).
  • Provide administrative and project support to the Company Secretary and senior governance team.
